1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Stintwell Business Operating System ("SBOS" or "the platform"), provided by Stintwell LLC, a Florida limited liability company ("Stintwell," "we," "us," or "our").

By creating an account or accessing the platform on behalf of a business, you represent that: (a) you are at least 18 years old; (b) you have the authority to bind the business entity you represent; and (c) continued use of the platform constitutes ongoing acceptance of these Terms.

If you do not agree to these Terms, do not access or use the platform.

2. What SBOS Is — and Is Not

SBOS is a software platform. It helps small and mid-sized businesses manage and improve their operations through structured tools, diagnostics, and AI-assisted features. The platform includes:

  • Business Health — Operational assessments and maturity diagnostics
  • SOP Library — Standard operating procedure creation, management, and execution
  • Financial Pulse — Financial metric tracking and P&L visibility
  • KPI Scorecards — Key performance indicator tracking and target management
  • Roles & People — Organizational structure, role definitions, and accountability assignments
  • Leadership OS — Meeting cadences, agendas, decisions, and leadership records
  • Project Execution — Project and task management with accountability tracking

SBOS is not a services firm. Stintwell does not offer consulting engagements, fractional COO services, custom strategic advisory, or any form of one-on-one professional services. The platform is the product. If you are looking for a consulting relationship, email us at help@stintwell.com.

Not professional advice. Platform features — including assessments, AI coaching, and recommendations — are operational software tools. Nothing on the platform constitutes legal, financial, tax, or professional advisory services. For matters requiring licensed professional advice, consult an appropriate professional.

3. Account Registration and Access

Business accounts. SBOS accounts belong to a business entity, not to an individual user. When you create an account, you are registering on behalf of your business. You are responsible for all activity that occurs under your business account.

Authorized users. You may invite individual users to access your business account. Each invited user accepts these Terms as a condition of access. You are responsible for the conduct of all users you invite.

Credentials. You are responsible for keeping your account credentials confidential. Notify us immediately at help@stintwell.com if you become aware of any unauthorized access.

4. Subscription and Payment

Subscription model. SBOS offers a free tier with access to core features. Paid subscriptions, billed monthly in advance, unlock additional functionality including expanded team access and advanced modules. Current pricing is published at stintwell.com.

Payment processing. Payments are processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on your billing cycle. Stintwell does not store payment card details.

Cancellation. You may cancel at any time. Access continues through the end of the current billing cycle. No partial-month refunds.

Price changes. We will provide 30 days' notice before any price increase. Continued use after the effective date constitutes acceptance of the new pricing.

Failed payments. If a payment fails, we will notify you and attempt to resolve it. Access may be suspended if payment is not resolved within 7 days of the failed charge.

5. Acceptable Use

You agree not to use the platform to:

  • Violate any applicable law or regulation
  • Attempt to access another business's data or accounts
  • Reverse engineer, decompile, or attempt to derive source code from the platform
  • Scrape or programmatically extract data from the platform without written authorization
  • Resell or sublicense access to the platform without written authorization
  • Upload malicious code or software intended to damage or interfere with the platform
  • Impersonate another person or business

6. Your Work Product Is Yours

You own your data. You retain full ownership of all business data you input into the platform — SOPs, KPI data, financial entries, org information, assessment responses, everything. We do not claim rights to your business's operational content.

Your license to us. By using the platform, you grant Stintwell a limited, non-exclusive license to process and store your data solely to provide the platform services. We do not use your identifiable business data for any other purpose without your consent.

AI-generated outputs. Content generated through the platform's AI features — drafted SOPs, coaching responses, recommendations — belongs to you. We make no warranties about the accuracy or completeness of AI-generated content; review it before acting on it.

Our platform IP. Stintwell owns the platform itself: the software, architecture, templates, and frameworks. You receive a limited, non-exclusive license to use the platform for your internal business operations during your subscription. That license ends when your subscription ends.

Feedback. If you share feedback or suggestions, we may use that input to improve the platform.

7. AI Features

The platform includes AI-powered features:

  • Assessment Engine — Collects your responses to operational questions and generates diagnostic results, maturity scores, and recommendations
  • AI Coaching — An AI assistant that provides operational guidance using context from your business account, powered by OpenAI (free tier) or Anthropic's Claude (paid tiers)
  • AI Content Tools — AI-assisted drafting for SOPs, KPI frameworks, and other operational content

What gets sent to AI providers. When you use AI features, your inputs and system prompting are sent to either OpenAI's API (free tier) or Anthropic's API (paid tiers) to generate responses. Neither provider trains its models on data submitted via the API.

AI limitations. AI outputs may be incomplete or imperfect. They are a starting point, not a final answer. For anything in a regulated domain — legal, financial, medical — get a qualified professional's review before acting.

8. Data Privacy and Sub-Processors

Your use of the platform is governed by our Privacy Policy, incorporated here by reference.

To deliver the platform, we work with the following sub-processors:

Anthropic AI coaching and content generation
Stripe Payment processing
Mouseflow Session recording and UX analytics

By using the platform, you consent to data processing by these sub-processors.

9. Multi-Tenant Architecture

SBOS is a multi-tenant platform — multiple businesses share the same infrastructure. Your data is logically isolated from every other business using row-level security controls enforced at the database layer. No other business can access your data.

Cross-business access — for example, a coach or advisor accessing a client's account — is only possible when explicitly granted by the account holder through the platform's access controls.

10. Service Availability

The platform is provided "as is" and "as available." We build and operate SBOS on best-in-class infrastructure and take reliability seriously, but we do not guarantee uninterrupted or error-free access.

We may modify or discontinue platform features over time. For material changes, we will provide reasonable advance notice.

11. Limitation of Liability

Stintwell's aggregate liability to you for any claims arising from these Terms or your use of the platform will not exceed the total subscription fees you paid in the 12 months immediately preceding the claim.

Stintwell will not be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if we have been advised of the possibility of such damages.

Some jurisdictions limit the exclusion of certain liabilities. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Stintwell and its officers, employees, and agents from claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your business data; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

13. Termination and Your Data

Cancellation by you. Cancel at any time through account settings or by contacting help@stintwell.com.

Termination by us. We may suspend or terminate your account for material breach of these Terms. Where the breach is curable, we will provide 10 days' notice before terminating.

Your data after termination. You can export your data at any time while your account is active — CSV and JSON formats, no restrictions. After your account ends, your data remains available to export for 90 days. After that window, it is permanently deleted. We don't hold your data hostage and we don't keep it indefinitely after you leave.

Effect of termination. Your license to access the platform ends on termination. Sections 6, 7, 11, 12, 14, and 15 survive.

14. Governing Law

These Terms are governed by the laws of the State of Florida. Any disputes will be resolved in the state or federal courts of Miami-Dade County, Florida.

15. Changes to These Terms

We may update these Terms. For material changes, we will provide 30 days' notice by email or by posting a notice on the platform. Continued use after the effective date constitutes acceptance.
